Based in Brisbane, IHCA Certification Pty Ltd is a subsidiary of IHCA and was established in 2002 as an impartial, non-government third party certification not-for-profit company. We offer our clients across Australia a cost-effective solution to complete certification against international, national, government and industry standards.

A large proportion of our clients are in rural and remote areas of Australia. We certify more than 100 community controlled Aboriginal Health organisations, and we are the only Certification Body authorised to accredit alcohol and other drug organisations under the Western Australian Network of Alcohol and other Drug Agencies (WANADA) Scheme.

About the role

IHCA is governed by a progressive Board of Directors with a wide variety of skills and experiences. Our Board is now seeking a secretary to support IHCA in meeting its corporate governance, legal and regulatory obligations.

The Board meets bi-monthly in South Brisbane during the evening on a weeknight. There is also an Annual General Meeting. Meetings may be conducted via videoconference, should a candidate live in another area of Australia.

You will perform the duties and responsibilities of a Company Secretary as required by the Corporations Act, the IHCA and IHCA Certification Constitutions, and any other relevant legislation or regulation. This includes:

  • Ensuring that the IHCA Group complies with its corporate governance obligations under relevant laws, regulations and their Constitutions
  • Ensuring that statutory documents, registers and records are kept and maintained
  • Ensuring completion and lodgement of statutory forms/returns and reporting under the Corporations Act and other relevant legislation / regulations
  • Reporting and compliance arrangements with the Australian Charities and Not-for-Profits Commission
  • Recording declarations / conflicts of interest of directors and advising ASIC where necessary
  • Liaising with ASIC and other regulatory bodies as required
  • Assisting with Board meetings including:
    • Preparing agendas
    • Compiling and circulating papers to directors prior to meetings
    • Taking minutes
    • Initiating and directing actions to give practical effect to decisions
  • Assist the Board Chair and Directors in the conduct of meetings and their directorial and governance obligations and responsibilities
  • General meetings:
    • Arranging annual general meeting and any other general meetings
    • Giving due notice
    • Preparing agendas
    • Compiling briefing notes for Board Chair
    • Managing proxy votes
    • Taking minutes
    • Advising the Board and supporting directors through the election process.
  • Other duties to support strong corporate governance including:
    • Establishing a timetable of actions required during the year
    • Preparing company secretarial reports to the Board
