About the role

The Board is responsible for the governance of Happy Brain Education and has the overall responsibility to determine matters relating to the policies, practices, and operation of Happy Brain Education. This role requires attending approximately 12 board meetings (majority held online) and may require attendance in monthly conference calls for management/financial reporting and general compliance issues.

 

Key Responsibilities: 

  • Demonstrate a strong commitment to HBE’s mission and values
  • Provide evidence of knowledge of ACNC and ASIC governance principles and demonstrate a commitment to working according to these principles
  • Demonstrate experience in strategic planning that may come from business, management experience or not-for-profit organisations.
  • Assist with the organisation’s compliance with relevant government and non-government agencies. Ensure all legal and financial responsibilities are met and that finances are sound, and operations are legal.
  • Represent the organisation in external functions, and meeting with the funding bodies and stakeholders as required.
  • Attend and actively participate in monthly Board meetings, Annual General Meeting, strategic planning meeting and ad hoc meetings as required.

 

Skills Required:

  • Understanding of the role as well as the legal, ethical, fiduciary and financial responsibilities.
  • Ability to review the Happy Brain Education strategy through constructive questioning and contribute to the effective decision making of the board.
  • Ability to read and comprehend the company’s accounts, financial material presented to the board, financial reporting requirements and some understanding of corporate finance.
  • Understanding of the board’s compliance responsibilities with numerous laws as well as understanding the individual director’s legal duties and responsibilities.
  • Experience in managing areas of major risk management to the organisation.
  • Experience in current management thinking on employment, branding, engagement, strategic vision and stakeholder communication.
  • Experience in the not-for-profit sector, preferably in the education sector.
