About the Role

The Infants’ Home Child and Family Services is looking for a volunteer Company Secretary to support the governance of the Board.

The Infants’ Home is a not-for-profit organisation that provides early childhood education and care, early intervention and allied health services to over 2,500 children and their families each year.

Since 1874, we have supported more than 180,000 children and their families to build new futures. Our award-winning service offering is unique in New South Wales and we are the largest integrated service of our kind in Australia. Thirty percent of our on-site services are targeted towards children with additional needs or living in vulnerable circumstances.

The Infants’ Home is looking for an experienced Company Secretary to support the corporate governance of our organisation on a pro bono basis.

Company Secretary Responsibilities

The Infants’ Home Board meets 6-8 times a year (meetings 2-3 hours) at our premises in Ashfield and has an annual full day strategy meeting. The Company Secretary would support the governance of the Board by:

    Ensuing compliance with statutory obligations under any relevant laws and regulations
    Ensuring adherence with The Infants’ Home Constitution and Rules, board policies, committee charters and related documents
    Taking accurate minutes of all Board meetings, the Annual General meeting and any Extraordinary General meetings
    Taking accurate minutes of the Board Finance, Audit and Risk Committee meetings (held before each Board meeting).
    Maintaining the annual Board Calendar
    Maintaining Board policies and ensuring review cycles are followed
    Recording conflicts of interests of Directors
    Assisting the Chair and Directors in the conduct of meetings and their governance responsibilities
    Working with the Chief Executive Officer and Executive Assistant to the CEO to:
    – Ensure board papers are distributed in a timely manner
    – Ensure completion and lodgement of required documents to the Australian Charities and Not-for-Profits Commission (ACNC)
    – Arrange Annual General Meeting and any other extraordinary general meetings
    – Ensure records are maintained of all Board committees
