About the role
THE COMPANY SECRETARY IS A CRITICAL ROLE THAT SUPPORTS OUR CHAIRPERSON, BOARD OF DIRECTORS AND EXECUTIVE COMMITTEE TO OPERATE IN A TIMELY AND EFFICIENT MANNER.
Role and Responsibilities
This role will give you the opportunity to gain an insight into the world of Directorships and non-profit governance, whilst helping us remain compliant and supporting our team to maximise their time together.
Carry out responsibilities of Company Secretary as required by Corporations Act (CA) and constitution, including;
- Ensure that the Company complies with its statutory obligations under any relevant laws and regulations
- Support Australian team to maintain statutory records and submit forms/returns to reporting bodies including;
- half-yearly and annual accounts
- annual return
- change in Directors, secretaries
- Board meetings
- arrange/co-ordinate
- set agenda
- compile and circulate papers to Directors prior to meetings
- take minutes
- initiate and direct action to give practical effect to decisions
- ensure adherence with the Company’s Constitution
Additional opportunities for involvement
- Support in developing a timetable of corporate actions required during the year pursuant to CA
- General meetings
- arrange AGM (and any other extraordinary general meetings)
- give due notice
- prepare agenda
- compile briefing notes for Chairman to conduct meeting
- manage proxy votes, corporate representatives
- take minutes
- prepare a corporate governance/policy manual for Directors/ management
- Other matters as reasonably required by Directors from time to time
Specific Requirements
Necessary:
- Experience in administrative role
- Basic knowledge of Australian governance requirements and operations of Boards in NFPs
Desirable:
- Direct experience on a NFP board
- Direct experience as a company secretary
- Detailed knowledge of Australian NFP legal and compliance requirements
Regular Commitment
- Attending monthly Board meetings;
- Attending the Annual General Meeting;
- Attending briefing meetings with Executive Committee to prepare for upcoming Board events
Skills
- Ability to work autonomously
- Resourceful in finding information to solve problems
- Excellent inter-personal skills
- Experience co-ordinating teams and meetings
- A strong interest in social enterprises
- A strong interest in sustainable technology and poverty alleviation
