About the organisation
We are looking to appoint a Gold Coast local to provide Company Secretarial services. Multicultural Communities Council Gold Coast was established in 1983 as a key service provider to the increasing migrant, refugee and new international arrivals population, we are the peak regional organisation serving the needs of multicultural residents. Our programs span across Community Development, Social Support, Education and Training, Youth, Aged Care, Advocacy and Events. About the role
The successful applicant will provide Company Secretary services as listed in s188 of the Corporations Act 2001 (the “Act”) In addition, the successful applicant will also be responsible for:
- Managing board processes – board and committee papers and circulation of agendas, minutes, discussion papers, proposals for the board and its committees;
- Ensuring members’ and directors’ meetings are properly called and held;
- Ensuring the necessary registers are established and properly maintained and ensuring that the company’s financial records are maintained, and reports prepared in accordance with the requirements of the Act;
- Ensuring records of members’ and directors’ meetings are kept in compliance with the Act and the organisation’s constitution;
- Understanding and ensuring the company complies with its statutory obligations, ensuring requirements of ASIC, ACNC and other regulators are met, including continuous disclosure;
- Advising the board on good practice in corporate governance, (for example, giving guidance on the legal implications of the way it discharges its duties, runs meetings, and makes decisions);
- Promoting the compliance framework to safeguard the integrity of the organisation;
- Counselling the board on standards of ethical and corporate behaviour;
- Ensuring the board has the information it needs to make informed decisions (for the business judgment rule defence);
- Policy formulation for the board;
- Managing director induction and maintenance of a director manual;
- Keep proper minutes of all meetings;
- Managing directors’ & officers’ (D&O) insurance.
Essential Conditions of Employment
- National Police Clearance must be attained and a declaration made on any future charges or convictions that could potentially affect your role within MCCGC.
- A current unrestricted Australian driver’s licence.
- Must be available Tuesday evenings once a month
- Have a summary of relevant experience providing similar or comparable services to those outlined in the Terms of Reference;
- Be highly organised complimented by years of Administrative experience
- Attend all Board and AGM meetings whilst acting in this capacity to carry our secretarial duties
