About the role
Cherish Women’s Cancer Foundation (‘Cherish’) is seeking a volunteer Company Secretary to partner with the Chair and Board of Directors to deliver high level governance and compliance outcomes for the benefit of the Foundation. The position will suit a highly organised individual with prior experience on a NFP Board or similar position. An ability to work independently and remotely is a must. To be successful in this role, you must have a genuine desire and motivation to contribute to and develop the existing work of the Cherish Foundation. In addition to contributing your professional skills and knowledge, you will: · be expected to attend monthly board meetings in Brisbane · be responsible for the collation and distribution of meeting agendas, minutes and Board papers · oversee the completion of Board action items · maintain company registers and records · ensure compliance is maintained with the Australian Charities and Not for Profits Commission (‘ACNC’) and other regulatory bodies · provide advice and guidance regarding the Foundation’s constitution · regularly review and develop as required Board level policies · prepare and maintain the annual Board and AGM calendar · assist with AGM preparation, including notification to members · facilitate regular Board reviews and skill matrix assessments · assist with Board succession planning and undertake inductions of new Board members · provide impartial advice and guidance regarding corporate governance to the Chair and Board · maintain the Board portal on Dropbox or other platform as used from time to time · perform other governance duties as required. Ideally, you will also have high-level communication and inter-personal skills; be detailed, organised and commercially astute; be experienced with virtual meeting platforms such as ZOOM; and be willing to be a collaborative participant in a committed NFP governance team. Completion of either the Australian Institute of Company Directors or Governance Institute of Australia accreditation courses will also be highly regarded. About the organisation
Cherish (https://cherish.org.au) is a registered gift deductible charity, based in Brisbane. Co-founded by Professor Andreas Obermair in January 2012, Cherish was established to generate funding for research and clinical trials that could be developed and implemented quickly to find kinder ways to treat women with gynaecological cancer.
Every year, Cherish commits funding to these clinical trials and valuable research for the sake of the women we cherish – our grandmothers, mothers, aunts, sisters, daughters, wives, fiancés and friends. If we didn’t, the 5,000 women who are diagnosed with gynaecological cancer each year in Australia are almost forgotten, as societal focus is not on this area of women’s bodies as much as it should.
