Location : Sydney (Sydney CBD 1-2 per year, and online)

Time required : 3-4 hours every two months

About the role

We are seeking a passionate and committed professional to take on a voluntary role as Company Secretary for the Law and Justice Foundation of NSW (the Foundation).

The appointed Company Secretary is expected to contribute to the Foundation’s high standards of governance, and to ensure that complete, timely and accurate records of meetings are maintained.

We are seeking someone available to commit to the role for a minimum of 12 months. The commitment includes approximately 6 board meetings of 1-2 hours duration per year. Most meetings are conducted virtually, and 1-2 meetings per year are conducted face-to-face in Sydney CBD.

 

Key Responsibilities

  • Advising the Board on governance matters
  • Assisting development, and supporting the implementation of, governance policies and procedures
  • Ensuring that the business at board meetings is accurately captured in the minutes
  • Providing information on new, evolving and emerging governance requirements to ensure the organisation complies with its statutory obligations, and obligations of regulators
  • Helping to organise and facilitate the onboarding and induction of directors
  • Organising board performance reviews

 

The desired candidate will have:

  • Experience with boards and good knowledge of governance and compliance
  • Strong written, verbal and interpersonal communication skills
  • Strong organisational skills
  • Availability to commit to the time commitments reflected above
  • Strong ethics, discretion and ability to maintain confidentiality, with an alignment with the purpose of the Foundation

The appointed candidate will have at minimum a good working knowledge of governance procedures. Demonstrated experience in a similar role is highly desirable. Demonstrated knowledge of public sector governance is highly desirable, but not essential.

Reimbursement

Travel expenses will be paid, where required.
