About the role
Senior Secretary
Australian Red Cross seeks to appoint a highly talented, values-driven individual to become its new Senior Secretary. This senior executive position is the key leadership role responsible for the coordination of activities between the Board, Committees and Executive ensuring an efficient, co-ordinated and effective relationship delivering strong governance outcomes between the Board, its Committees and the leadership of Red Cross. You will be responsible for the conduct of Red Cross Board and Committee meetings, engagement with senior leadership in supporting the preparation and source of relevant information, facilitating seamless communication providing expert advice on relevant governance issues and the recording of the actions taking place. In addition, you will be responsible for taking a lead role, partnering with General Counsel and the Board in the review of its constitutional rules for Red Cross in Australia.
In this full-time, permanent position, in part based in North Melbourne, the Senior Secretary reports to the President who chairs the Board. On day to day matters the Senior Secretary reports to the CEO and will provide practical advice and implement ways to continuously improve efficiencies in support of the Board and Committee practices and engagement with Red Cross’ leadership.
The successful candidate will have a well-developed understanding of contemporary governance compliance and procedures and be highly organised, pragmatic, know how to reach out to key stakeholders in the organisation and get things done, and will be astute in presenting practical solutions to enhance effective governance. As a dynamic individual with exceptional written and verbal communication skills coupled with an eye for detail, the appointee will have a track record in supporting Executives/Board Directors on matters to be brought to the Board including on governance, strategy, compliance and best practice and will demonstrate experience with corporate policy making and interpretation of legislation/regulations. Naturally collaborative, the appointee will have, apart from significant experience in navigating large organisations, qualifications in Law and strong legal knowledge, will be digitally savvy including with tools available to the Board and have the ability to navigate complex environments and come up with practical solutions to improve support for both the Board and the senior leadership team. Qualified professional membership of the Governance Institute of Australia and/or the Australian Institute of Company Directors preferred.
Secretary
Australian Red Cross seeks to appoint a highly motivated, values-driven individual to assume the position of Secretary. The position will support the Senior Secretary in ensuring statutory obligations are being met, as well as ensuring the efficient and effective operation of all Red Cross Board and Committee meetings. The Secretary will also support the Senior Secretary in facilitating seamless communication and providing expert advice on relevant governance issues.
In this full-time, permanent position, the Secretary reports to the Senior Secretary and is a lead governance specialist for the organisation. Interfacing with Board Directors and senior Executives, the Secretary will provide key advisory support on all aspects of corporate governance and company secretarial practice in line with internal policies.
The successful candidate will have a well-developed understanding of contemporary governance compliance and procedures and be highly organised, pragmatic, know how to reach out to key stakeholders in the organisation and get things done, and will be astute in presenting practical solutions to enhance effective governance. With highly developed communication skills coupled with an eye for detail, the appointee will have a track record advising Executives/Board Directors on matters of governance, compliance and best practice and will demonstrate experience with corporate policymaking and interpretation of legislation/regulations. Naturally collaborative, the appointee will have legal qualifications and will also be digitally savvy and have the ability to navigate complex environments and provide solutions. Qualified professional membership of the Governance Institute of Australia and/or the Australian Institute of Company Directors preferred.
