Purpose of the Role

This is a fantastic opportunity for an experienced board administrator or legal assistant to support the Company Secretary and Head of Legal at a leading Not-for-Profit organisation. This exciting role offers true breadth across the scope of legal, risk, compliance and governance whilst providing support to the Board Secretariat and Legal divisions to ensure all of SSI’s secretariat and corporate governance functions are supported effectively and efficiently.

About the Role

Working as part of a close-knit team to manage day-to-day company secretarial requirements and periodic compliance review of all key frameworks and regulations, the main responsibilities include:

  • Collate and prepare meeting packs for board meetings and sub-committees.
  • Ensure effective circulation and return of correspondence to board and sub-committees.
  • Actively engage Executive and other staff to finalise meeting papers and packs to meet board and board committee expectations.
  • Ensure consistency and quality is incorporated into all materials for board and sub-committee consideration.
  • Support and co-ordinate board activities and events.
  • Supporting the delivery of the AGM and Board / Executive Offsite.
  • Facilitating the induction of newly appointed directors and professional development programs for the board.
  • Partner with the company secretary in the preparing and managing corporate governance principles and plans, including implementing corporate governance programs and acting as the regulatory reporting liaison (ASIC and ACNC).
  • Provide support to the legal team from time to time as required and within your skillset with opportunity to further develop your skills in corporate governance.

 

 

About You
Ideally you will have:

  • Minimum of 3+ years of relevant experience providing company secretarial and / or legal administrative support.
  • Familiarity with Diligent or a similar board portal, or ability to quickly learn new software.
  • Exceptional interpersonal and communication skills including confident stakeholder management at all levels.
  • Strong drafting and proof-reading skills.
  • Diary management and/or demonstrated ability to organise meetings and calendars is essential.
  • Well-developed influencing and stakeholder management skills, with the ability to consult effectively at senior levels.
  • Ability to manage priorities and meet deadlines and timeframes is highly desirable.
  • Advanced MS Office suite experience.
  • Strong commitment to very high-quality written outputs / documentation.
  • Enthusiasm and ability to work positively in a team environment.
  • Strong resilience and work ethic and the ability to maintain confidentiality in all matters relating to SSI and its entities.
