COMPANY SECRETARY JOB DESCRIPTION

If so, we need YOU to contribute your skills to our growing organisation!

The Lynch Syndrome Australia (LSA) Company Secretary is the key administration officer of LSA.

This is a volunteer position.

The primary mission of Lynch Syndrome Australia (LSA) is to serve our Australian communities by focusing on providing support for individuals afflicted with Lynch syndrome, creating public awareness of the syndrome, educating members of the general public and health care professionals and providing support for Lynch syndrome research endeavours.

LSA, an all-volunteer organisation, is founded and governed by Lynch syndrome survivors, their families, and health care professionals who specialise in Lynch syndrome.

We are looking to fill the role of Company Secretary. This is a vital role and enables our association to function smoothly.

Duties and Responsibilities

Statutory Records

  • ensure mandatory retention of documents and records
  • responsible for completion and lodgment of statutory forms/returns and reporting under the relevant legislation/regulation including:
    • annual accounts
    • changes in board directors, secretaries, etc.
  • Establish a timetable of corporate actions required during the year to the Department of Fair Trading QLD and the ACNC and other regulation.
  • Prepare agenda and meeting papers for the LSA Board Meetings in conjunction with the Chair LSA Founding Director.
  • Coordinate meeting teleconferences
  • Take minutes at all LSA Board meetings and Scientific Advisory Board meetings and distribute in a timely manner
  • Complete a Board meeting “action sheet” and distribute to LSA Directors after each meeting
  • Liaise with LSA Directors on a regular basis responding to emails as required
  • Proof read and correct prepared materials for correct grammar, format and completeness.

Skills and Experience

  • Organised, reliable, enthusiastic and motivated
  • Excellent written and verbal communication skills
  • Sound understanding of microsoft office
  • Good interpersonal skills– able to work in a team situation and communicate clearly

Desired Skills

  • Knowledge of the Not for Profit and charity sector
  • Experience in a similar role or desire to undertake relevant training
  • Sound understanding of Microsoft office software

 

Time Commitment

  • Board meetings– up to 3 per year – approximately 2-3 hours in length
  • At least one of these meetings will be face to face and possibly 4+ hours
  • Scientific Advisory Board meeting – up to 2 per year – approximately 1-2 hours in length
  • Available for between 2-4 hours per week. (this may vary between weeks)
