About the role
The Company Secretary plays an important role in supporting the effectiveness of the board and its committees.
The role of the company secretary includes:
- Advising the board and its committees on governance matters;
- Monitoring that board and committee policy and procedures are followed;
- Coordinating the timely completion and dispatch of board and committee papers;
- Ensuring that the business at board and committee meetings is accurately captured in the minutes;
- Helping to organise and facilitate the induction and professional development of directors
- Ensuring that the necessary registers required by the law are established and properly maintained;
- Ensuring that any required annual returns and annual reports are lodged with the appropriate regulator on time; and
- Ensuring the organisation of, and attend, meetings of the members and the directors, including the sending out of notices, the preparation of agenda and the compilation of minutes.
Time commitment per month:
- 4 hours scheduled meetings (Board meetings and other)
- 4 – 5 hours scheduled meetings of Committees e.g. The Audit and Risk Committee
- 6 – 7 hours documentation and record management and reporting
Qualifications and Experience:
- Qualifications (or demonstrated experience) in governance, business, law, or other relevant discipline;
- Experience in related roles such as company secretary, board roles, audit and compliance, risk assessment, or governance;
- Understanding of the regulatory framework and governance standards;
- An interest in the NFP sector and time to fulfill the duties of the role.

- Mentoring in order to help small to medium sized organisations with fewer resources than large corporations to ‘skill-up’ in cyber security while also addressing the national skills shortage in this field
- Specialist news access for our members so they can follow and act on data breaches and other important cyber security events
- Innovative forums to share learning, knowledge, skills, experience, ideas and innovation in the information security and privacy field
- Help to organisations to reduce identity theft, financial crimes, fraud, unauthorised access to information systems and the data they contain
