About the role
We are looking for a governance professional who aligns strongly with our Vision, Mission and Values to join Bravehearts’ Board in the role of Company Secretary.
Working on the Bravehearts Board means working with a dedicated team that are on a mission to protect kids and prevent child sexual assault in our society.
The Company Secretary plays a crucial role in the governance of Bravehearts.
Key areas of responsibility:
- Perform the duties of a Company Secretary as required by the Corporations Act (CA) and Bravehearts’ Constitution.
- Assist the Chair and fellow Directors with the conduct of meetings and their directorial and governance obligations and responsibilities.
- Ensure Board policies and procedures are followed and regularly reviewed.
- Provide or procure advice, as required, for Directors regarding the application of CA and Bravehearts’ Constitution.
- Ensure mandatory retention of documents and records.
- Establish a timetable of corporate actions required during the year to the ACNC and other regulation.
- Prepare agenda and meeting papers for the Board Meetings in conjunction with the Chair.
- Coordinate meeting video/ tele conferences.
- Take minutes at all Board meetings and distribute in a timely manner.
- Liaise with Directors on a regular basis responding to emails as required.
- Other matters as reasonably required by the Directors from time to time.

Qualifications/Experience:
- Post Graduate Tertiary qualifications in a related discipline are essential (for example Commerce or Law).
- 2 years plus experience in a similar Company Secretary role preferred.
- Corporate governance experience preferred.
- Must have or be willing to apply for a Criminal Check and Working with Children Check before starting this position.
Personal Qualities:
- The appointee needs to possess personal qualities of integrity, sound judgement, empathy, and respect for individuals.
- The capacity to work enthusiastically within the parameters of the Bravehearts mission and philosophy and to its vision for an optimum contribution to the lives of children and young people who have experienced sexual assault, their non-offending family members and primary caregivers.
- Principles of social justice will underpin the appointee’s practice.
Skills and Abilities:
- Strong understanding of corporate governance principles and application.
- Knowledge of the Not for Profit and charity sector.
- Ability to solve problems by being collaborative, creative and analytical.
- Advanced computer skills, including Microsoft Office and Microsoft Teams.
- Highly developed interpersonal, communication and organisational skills.
- Able to work well within a team environment.

Time Commitment
- Board meetings– monthly – approximately 2-3 hours in length
- Available for between 2-4 hours per week. (This may vary between weeks) to complete the responsibilities of the role
Child-Safe Organisation
No Card, No start. As a child safe organisation you must have a current Working with Children Check and National Police Certificate.
