Transport Heritage NSW Ltd (THNSW) is a not-for-profit Company limited by guarantee. THNSW is a member- and volunteer-based organisation.
Our vision is bringing transport heritage to life!
We deliver on our vision, mission and long-term goals through:
- operating our two museums and other heritage transport sites
- operating heritage passenger rail experiences
- delivering a vibrant annual program of major events and heritage transport focussed activities
- the custody, care and management of NSW Government-owned heritage transport assets including eleven sites and numerous collection items across NSW in collaboration with custodial groups
- supporting, working with and partnering with smaller enthusiastic community and volunteer Heritage Transport Sector groups within the NSW
- promoting community engagement and other key stakeholder support for the betterment of heritage transport in NSW for generations to come
THNSW partners with the Transport Asset Holding Entity (TAHE) and Transport for NSW (TfNSW) and is part funded by TfNSW in recognition of the community value of the transport heritage portfolio for the people of NSW. THNSW works closely with TAHE & TfNSW to make sure funds are appropriately spent and that THNSW provides value for money. THNSW also pursues its own opportunities to generate further revenues to fund priorities and heritage activities.
About the role
Opportunity
The Transport Heritage NSW Ltd (THNSW) Board is calling for expressions of interest to appoint one (1) Non-Elected Appointed Director vacancy for a three-year term from November 2023 to November 2026.
The THNSW Board recognises there will be many and new challenges the organisation will need to face in the coming years as THNSW continues to evolve, pursues its strategic plan, and strives to thrive.
Key to THNSW’s success will be its ability to bring together diverse thinking, proactively recognise needs and opportunities and then change and adapt to do things differently whilst staying its strategic course.
The THNSW Board also recognises the need for diversity and candidates with diverse cultural, social, educational and professional backgrounds and particularly women are encouraged to apply.
About the Role
The THNSW Board is comprised of a total of eight Directors made up by the Chair, four Elected Directors and three Appointed Directors as per the Constitution of THNSW. All Directors should bring to the Board suitable skills, experience and competence to undertake the duties of Directors in furthering the aims and objectives of THNSW.
Appointed (Non-Elected) Directors are appointed in accordance with the THNSW Constitution. Appointed Directors are carefully chosen to ensure that the THNSW Board has a balanced range of knowledge, skills, experience, capability and diversity bearing in mind the Government’s strategy for the development of the Transport Heritage Sector in NSW and the importance of transport heritage assets to the NSW people.
Selection Criteria
All Directors should bring to the Board suitable knowledge, skills, experience, qualifications and competence to undertake the duties of Directors in furthering the aims and objectives of THNSW and acting in the organisation’s best interests at all times. It is important that Directors are elected or appointed such that the THNSW Board has a diverse and balanced range of skills and capability.
The following skills have been identified as being desirable for an Appointed Director of THNSW at this time (September 2023):
- Commerce, business and/or product development
- Fundraising
- Heritage, museum and/or conservation/preservation
- Key Stakeholder engagement and relationship management
- Public relations, education, marketing and/or communications
- Tourism and/or leisure attractions
Ideally you will have already completed or be in the process of completing your AICD Director qualifications.
The successful appointee will need to have their Director Identification Number (DIN) before they can be appointed.
Duration of Appointment
Initial appointment will be from November 2023 following THNSW’s AGM 2023 (to be held 18 November 2023) to THNSW’s AGM 2026. Appointed Directors are not limited to a single term and any subsequent reappointment will also be for a three (3) year term.
Time required
Minimum of six (6) Board Meetings each calendar year, plus reading time, at least one (1) of each Board Subcommittee Meetings each calendar year, each year’s AGM, and occasional attendance at special Board Meetings, Board workshops, other events and activities. Board Meetings are hybrid and can be attended either in person or online via MS Teams.
Remuneration
Unpaid (some limited expenses may be reimbursed from time to time)
