Organisation Name : The Live Music Venues Alliance, NSW (LMVA)

The Live Music Venues Alliance, NSW (LMVA) was formed in 2021 as an unincorporated association by independent, privately owned and dedicated live music and live performance venues in NSW. During the pandemic, subsidised live arts organisations and subsidised venues received emergency funding from government. However, the impact on independent, privately owned live music and performance spaces was overlooked. The need to form a representative association to support and advocate for independent venues and the independent sector was overdue and urgent.

LMVA has successfully advocated for over 200 privately owned independent live venues throughout NSW. These venues received emergency funding, which saved them from closure. It therefore cemented its reputation as an effective representative and advocacy body.

LMVA has plans to incorporate as a Company limited by guarantee and additionally, collaborate with the Night Time Industries Association (NTIA) to promote and work on mutual interests together.  Other benefits will also flow from such collaboration.

This is an exciting opportunity for an energised, enthusiastic legal or business professional to be intrinsically involved in this initiative and to establish and maintain high standards of corporate governance through simple, effective and transparent board practices. This role will also manage board administration, governance protocols and agendas and minutes.

About the role

The Board Secretary for LMVA will play a strategic, integral role in establishing and supporting the effectiveness of the Association, with responsibility for:

  • Preparing Board agendas, compiling papers for the meetings and distributing the agenda and papers in a timely manner. (2 hours per month)
  • Taking minutes of the Board meetings and timely distribution to the Board members. (1.5 hours per month)
  • Creating strong, effective governance practices, standards and procedures, which are nimble, readily actionable and evidenced. (2 hours per month)

Key Responsibilities & Duties

  •  Attending one Board meeting per month (virtually).
  • Compiling Board papers, agreeing the Board Agenda with the Chair and notifying Directors in writing in advance of Board meetings.
  • Ensuring Directors’ meetings are properly called and held (subject to instruction from the Chair and/or Board).
  • Assisting and advising the Chair and Directors in the conduct of meetings, governance obligations and responsibilities.
  • Providing guidance to Directors and overseeing compliance on various matters, including governance principles, directors’ liability & insurance as required and the organisation’s Constitution.
  • Ensuring Board meetings are accurately captured in the minutes and that minutes are completed and distributed in a timely and accurate manner after the meeting.
  • Providing any other services, which the Chair or Board may require.

Essential Selection Criteria

  • Available and able to give the time required.
  • Excellent verbal and written communication.
  • Excellent interpersonal skills and the ability to work well with people at all levels.
  • Excellent attention to detail and a well-organised approach to work.
  • Experience in scheduling meetings, development and distribution of agendas, and ability to take and produce accurate minutes.
  • High level of integrity, including proven capacity to manage sensitive and confidential information.
  • Tertiary qualification in Law, Corporate Governance or Business (highly preferred).
