About Ondru
Ondru is an independent non-profit organisation committed to provoking thought and evoking change through art. Ondru was founded with an intention to make people feel and think, as a voice to express the variety of the human condition in a unique manner through art and literature, and with the desire to inspire positive social change.

Ondru is made up of about 20 volunteers at any one time. The Ondru Board has five members, including a Chair, Company Secretary and a Treasurer.

Ondru’s Goals
Ondru’s strategic goals for 2016/2017 are:
• Goal 1 (People): Develop a committed, engaged, connected and supported team that embody the Ondru values and culture
• Goal 2 (Art): Develop and create art that provokes thought and evokes positive social change
• Goal 3 (Brand & Communications): Be a recognised name in creating art and inspiring social change
• Goal 4 (Funding): Be a financially sustainable arts organisation
• Goal 5 (Operations): Conduct all our operations in an effective, ethical and innovative manner

The Board is currently looking for two applicants – one Director and one Company Secretary. The criteria for both roles and the specific criteria for the Company Secretary role are set out below.

About the role:
Director
The Directors are responsible for ensuring that Ondru meets all legal requirements and remains accountable to its donors and other stakeholders. In particular, the Board needs to make sure that Ondru acts according to its stated mission and for the purpose for which it receives tax exemption. Additionally, the Directors are responsible for reviewing and approving Ondru’s Strategic Plan, and other consequential arrangements (Business Plan, Marketing Plan, etc), the organisation’s systems for financial control and risk management.

Company Secretary
The Ondru Secretary will work closely with other Board members to ensure the efficient and effective operation of the Board. The Secretary is responsible for many of the administrative and record keeping tasks that are necessary for the functioning of the Board and is responsible for many of Ondru’s regulatory compliance obligations.

Please note that these are voluntary positions.

Selection Criteria
• Previous experience as a Board Director preferably with a non-for-profit organisation
• Demonstrated understanding of the legal duties and ethical responsibilities undertaken by company directors
• Commercial experience in areas such as business strategy, fundraising, marketing and/or media
• Previous experience in corporate governance or in a company secretary role would be highly regarded (for the Company Secretary role)
• Have a background in art and access to the arts sector and other relevant networks (Desirable)
• Ability to commit to the following values of Ondru:

All applicants must share Ondru’s values and believe that they can make a positive contribution to achieving the organisation’s vision and objectives.

Time Commitment
Ondru is a young organisation and as such we are looking for a Directors who will be actively engaged and involved in shaping the strategic direction of Ondru in accordance with our vision, values and objectives. Directors are expected to be able to provide a weekly commitment of between 6-8 hours a week, depending on the role.

At a minimum, attendance at all board meetings will be required. There are a minimum 6 board meetings per year / held bi-monthly, but may have up to 9 meetings if necessary, held in Melbourne CBD. Attendance in person is required for the majority of meetings.

Outside the meetings, time will need to be dedicated to review and consideration of meeting materials and attendance to out of session matters, as they arise, including fundraising activities and networking with relevant stakeholders. For particular positions on the Board, administrative tasks will also be required.
