About the role

Role Overview:

Happy Brain Education seeks to appoint a Board Chairperson. The Board is supported by a Chief Executive and staff and is primarily strategic in its thinking and approach. The Chairperson will work closely with the CEO and the Board to oversee the governance of HBE, and has the overall responsibility to determine matters relating to the policies, practices, and operation of HBE. This role requires attending approximately 6 board meetings (majority held online) and may require attendance in adhoc conference calls for general compliance issues outside of the bimonthly board meeting schedule. Board Chairperson is also expected to participate in one of our subcommittees outside of formal board meetings (subcommittees meet once every 4-6 weeks).

Key Responsibilities:

  • Work closely with the CEO to ensure the board is running effectively
  • Ensure the board’s alignment with the organisation’s strategic priorities
  • Convene Board meetings and oversee the provision of timely, relevant information to directors including oversight of financial data to support informed decision making
  • Oversee the work of Board committees, ensuring alignment with organisational priorities and objectives
  • Foster a culture of engagement and active participation among Board members to facilitate effective communication, decision-making & collaboration
  • Facilitate Board and director evaluations, review and succession planning (CEO, Directors, Board committee as applicable)
  • Assist with the organisation’s compliance with relevant government and nongovernment agencies. Ensure all legal and financial responsibilities are met and that finances are sound, and operations are legal
  • Represent the organisation in external functions, and meet with the funding bodies and stakeholders as required

Selection Criteria

  • Feels a strong connection with HBE’s purpose and values; and can demonstrate a strong personal commitment to equity in education
  • Understanding of the role as well as the legal, ethical, fiduciary and financial responsibilities; knowledge of ACNC and ASIC governance principles and demonstrate a commitment to working according to these principles
  • Ability to review the Happy Brain Education strategy through constructive questioning and contribute to the effective decision making of the board
  • Ability to read and comprehend the company’s accounts, financial material presented to the board, financial reporting requirements and some understanding of corporate finance
  • Understanding of the board’s compliance responsibilities with numerous laws as well as understanding the individual director’s legal duties and responsibilities
  • Experience in managing areas of major risk management to the organisation
  • Experience in the not-for-profit sector, preferably in the education sector
  • Experience in fundraising and philanthropy will be highly favoured

Note: Chairperson will be required to provide an ACNC director identification number

Commitment: 3 years (6 months probation)
